INDI Platform — Terms of Service

These Terms of Service (“Terms”) govern access to and use of the INDI (Intelligent Network for Data Integration) platform (“INDI” or the “Platform”), operated by INDUS Technology, Inc. (“INDUS,” “we,” “us,” or “our”).

By accessing or using INDI, you agree to these Terms. If you do not agree, do not access or use the Platform.

1. Eligibility and Access

INDI is an internal business platform. Access is limited to:

  • INDUS Technology employees, and
  • Authorized contractors and guest users who have been explicitly granted access by INDUS.

Access is granted through INDUS-managed single sign-on (SSO) authentication. The Platform is not available to the general public, vendors, prospective clients, or other third parties.

You may only access INDI using credentials issued or authorized by INDUS. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2. Authorized Use

You agree to use INDI only for legitimate INDUS business purposes, including but not limited to proposal development, program management, business development, and other functions supported by the Platform’s modules.

You agree not to:

  • Access or attempt to access data, modules, or accounts you are not authorized to use;
  • Upload, input, or transmit content that violates applicable law, INDUS policy, or any contractual obligation (including obligations relating to Controlled Unclassified Information, classified information, or third-party intellectual property);
  • Reverse engineer, copy, or attempt to extract the Platform’s source code, models, or underlying data except as expressly permitted;
  • Use the Platform in any manner that could damage, disable, overburden, or impair its operation; or
  • Use the Platform to send unsolicited communications.

3. SMS Notifications (Opt-In)

INDI offers optional SMS notifications for authorized users who choose to opt in. Examples of SMS notifications include reminders for overdue reports, notifications of new assignments, and similar operational alerts. SMS notifications are strictly opt-in and may be disabled at any time within INDI account settings or by replying STOP to any message.

Message frequency varies based on user activity and assigned responsibilities. Message and data rates may apply. SMS notifications are governed by these Terms and the INDI Privacy Policy.

4. Content and Data

INDI processes data uploaded by authorized users and data generated by the Platform’s AI features. All data within INDI — including documents, generated content, user inputs, and metadata — is the property of INDUS Technology or its clients, as applicable, and is subject to INDUS data handling, security, and confidentiality policies.

Users are responsible for ensuring that any content they upload or input is appropriate for the Platform’s security posture and does not exceed the Platform’s authorized data classification level.

5. Security and Compliance

INDI is hosted on Microsoft Azure infrastructure within INDUS-controlled tenants in the United States. The hosting environment is FedRAMP Moderate and CMMC Level 2 compliant. Users agree to comply with all applicable INDUS security policies, including those governing CUI handling, access control, and incident reporting.

6. Availability

INDI is provided on an “as available” basis. INDUS does not guarantee uninterrupted access and may modify, suspend, or discontinue all or part of the Platform at any time, with or without notice, for maintenance, security, operational, or business reasons.

7. Intellectual Property

The INDI Platform, including its software, design, branding, and underlying models and configurations, is the property of INDUS Technology. These Terms do not grant you any ownership interest in the Platform.

8. Termination

INDUS may suspend or terminate your access to INDI at any time, with or without notice, for any reason, including violation of these Terms, change in employment or contractor status, or business need. Upon termination, your right to use the Platform ends immediately.

9. Disclaimer of Warranties

INDI is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. INDUS does not warrant that the Platform will be error-free, secure, or continuously available.

10. Limitation of Liability

To the maximum extent permitted by law, INDUS Technology, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, INDI.

11. Changes to These Terms

INDUS may update these Terms from time to time. Material changes will be communicated through the Platform or by other reasonable means. Continued use of INDI after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
